✅ Patient data: We protect it, but clinics control it. You’re responsible for how your patient data is collected and shared.
✅ Our tools: We use trusted platforms like GoHighLevel, Google, Facebook, and Stripe. We’re not responsible for their outages or changes.
✅ Limits: We can’t guarantee perfect uptime or results. We’re not liable for indirect losses caused by service use.
✅ Ending services: Either party may end services with notice. We may suspend accounts for non-payment or misuse.
✅ Law: These Terms follow Ontario law (Canada clients) or Illinois law (U.S. clients).

Welcome to Smart Mender Digital (“we,” “our,” or “us”). By accessing or using our website, services, or software, you agree to the following Terms and Conditions. Please read them carefully.

Smart Mender Digital provides marketing and technology services to dental clinics, including but not limited to:
Lead generation

2. Use of Services
You agree to use our services only for lawful purposes.
You are responsible for ensuring that any data you provide, including patient-related information, is accurate and lawful to share.
You may not copy, modify, or resell our services without written consent.
3. Patient Data & Compliance
If you are a U.S. clinic, you agree to comply with HIPAA; if Canadian, with PHIPA/PIPEDA.
We provide tools to help protect data (GoHighLevel, Stripe, etc.), but you remain the data controller responsible for patient consent and lawful collection.
We act as a service provider or business associate where applicable and follow reasonable safeguards.
4. Payments
Fees for services are outlined in your service agreement or invoice.
Payments are processed securely via Stripe or other approved processors.
Subscriptions or retainers must be paid on time; late or failed payments may suspend service.
5. Intellectual Property
All materials, content, software, and branding provided by Smart Mender Digital remain our property unless explicitly transferred.
You may not use our name, logo, or materials without prior written permission.
6. Third-Party Tools
We integrate with third-party providers, including GoHighLevel, Google Analytics, Facebook Ads, and Stripe. We are not responsible for outages, changes, or issues caused by third-party platforms.
7. Limitation of Liability
We are not liable for indirect, incidental, or consequential damages arising from the use of our services.
While we strive for accuracy and uptime, we do not guarantee uninterrupted or error-free service.
Clinics are responsible for ensuring all campaigns and communications comply with advertising and healthcare regulations in their jurisdiction.
8. Termination
We reserve the right to suspend or terminate services if:
Payment obligations are not met
Services are misused or used unlawfully
Agreements are otherwise breached
Clients may terminate services with written notice as outlined in their agreement.
9. Governing Law
These Terms are governed by the laws of Ontario, Canada, for Canadian clients and the State of Illinois, U.S.A., for U.S. clients, unless otherwise agreed in writing.
10. Changes to Terms
We may update these Terms periodically. Continued use of our services after changes indicates acceptance of the revised Terms.
